Terms of Use

Please read these Terms of Use (“Terms”) carefully before using the Wurkn platform. By accessing or using any part of the Wurkn platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the platform.

These Terms constitute a binding agreement between Wurkn Technologies Inc. (“Wurkn”, “we”, “us”, or “our”), operating from Kitchener-Waterloo, Ontario, Canada, and the individual or organization accessing the platform (“you” or “User”).

1. What Wurkn Is

Wurkn is a Cultural Business Intelligence platform that enables organizations to collect anonymous employee sentiment, analyze workplace culture signals in real time, and correlate cultural data with business outcomes including retention, productivity, and organizational health.

Wurkn is not a human resources system. It is not a performance management tool. It is not a surveillance product. It is designed to give organizational leadership access to aggregated, anonymous, intelligence-grade insight into how their workplace is actually functioning.

Wurkn may integrate with workplace communication tools including Slack and Microsoft Teams to collect employee feedback and organizational signals through customer-configured and legally authorized channels. Wurkn is designed to present insights in aggregated and de-identified form and is not intended to identify individual employees.

Where supported by the applicable integration configuration, Wurkn may automatically remove employee feedback messages from supported communication channels after processing in accordance with configured retention settings. Wurkn does not control copies, exports, backups, retention settings, or records maintained by third-party platforms or customer administrators.

2. Acceptance and Eligibility

By accessing Wurkn, you confirm that:

  • You are at least 18 years of age
  • You have the authority to enter into a binding agreement on behalf of yourself or the organization you represent
  • Your use of the platform complies with all applicable laws and regulations in your jurisdiction

If you are accessing Wurkn on behalf of an organization, “you” refers to both you and that organization, and the organization accepts these Terms jointly with you.

3. Account Registration and Responsibilities

3.1 Employer Account Holders

Organizations that register for Wurkn (“Employers”) are responsible for:

  • Providing accurate and complete account registration information
  • Maintaining the confidentiality of account credentials
  • Ensuring that all employer-side users (administrators, managers, executives) who access the platform do so in accordance with these Terms
  • Promptly notifying Wurkn of any unauthorized use of your account

Wurkn is not responsible for any loss or damage arising from your failure to maintain the security of your account credentials.

3.2 Employee Consent Obligations

Wurkn is designed to process and present insights in aggregated and de-identified form and applies safeguards intended to reduce the risk of identifying individual employees.

Where applicable, Wurkn may apply automated processing designed to remove or reduce personal identifiers before generating analytical outputs. Customers acknowledge that retention, exports, backups, and administrative access settings within third-party platforms remain under customer and third-party control.

Employers who deploy Wurkn in their organization are solely responsible for:

  • Providing employees with clear, accessible notice that Wurkn is deployed in their workplace and that their communications in designated channels may be analyzed
  • Obtaining any consent required by applicable law before integrating Wurkn with communication tools such as Slack or Microsoft Teams
  • Ensuring that employee-facing communications about Wurkn are accurate and not misleading
  • Maintaining a process by which employees can opt out of participation where required by applicable law

Wurkn processes anonymous feedback and does not link submissions to individual employees. However, the employer is responsible for ensuring the lawful basis for deployment in their jurisdiction. This is particularly important for customers operating in the European Union, Quebec, or other jurisdictions with specific employee monitoring laws.

4. Permitted and Prohibited Use

4.1 Permitted Use

You may use Wurkn to:

  • Collect anonymous employee sentiment and feedback through Wurkn-approved channels
  • Access cultural intelligence dashboards and reports generated by the platform
  • Configure Wurkn settings and integrations for your organization
  • Export aggregated insights for internal business planning and reporting

4.2 Prohibited Use

You may not use Wurkn to:

  • Attempt to identify or de-anonymize individual employees from feedback data
  • Use the platform for employee surveillance, performance tracking, or disciplinary purposes
  • Reverse engineer, decompile, or attempt to extract the underlying source code of the platform
  • Circumvent any security, access control, or anonymization feature of the platform
  • Use the platform in violation of any applicable law, including employment law, privacy law, or human rights law
  • Transmit through the platform any content that is illegal, defamatory, or that infringes the rights of any third party
  • Resell, sublicense, or make the platform available to third parties without prior written authorization from Wurkn

Wurkn reserves the right to suspend or terminate access to the platform if we have reasonable grounds to believe these prohibitions have been violated.

4.3 Data Management

Wurkn is designed to provide aggregated and de-identified insights. Customers may not attempt to identify or determine the identity of any employee from platform outputs.

Wurkn may apply technical controls including identifier reduction, aggregation, and automated retention practices designed to reduce the likelihood of re-identification before generating analytical outputs.

Wurkn may limit, suppress, combine, withhold, or remove reporting where usage patterns create an increased risk of identifying individuals. Wurkn does not control records, exports, backups, administrative actions, or retention settings maintained outside the Wurkn platform.

5. Intellectual Property

All intellectual property in the Wurkn platform, including software, algorithms, models, design, documentation, and trademarks, is owned by Wurkn Technologies Inc. or its licensors. Nothing in these Terms grants you any ownership interest in the platform.

You retain all ownership rights in the content submitted through your account. By submitting content through Wurkn, you grant Wurkn a limited, non-exclusive license to process and analyze that content for the purposes of delivering the platform services described in these Terms and in our Privacy Policy.

Wurkn may use aggregated, anonymized, de-identified data derived from platform usage for research, model improvement, and product development, provided that such use cannot be used to identify any individual employee or any specific organization.

Customers retain ownership of data submitted to or processed through the platform.

Wurkn retains ownership of the platform, software, algorithms, models, documentation, and related intellectual property.

Wurkn may use aggregated and de-identified platform analytics to operate, maintain, secure, improve, and develop the platform, provided such use does not identify customers or employees.

6. Privacy and Data Handling

Your use of Wurkn is subject to our Privacy Policy, available at wurkn.com/privacy, which is incorporated into these Terms by reference. By using Wurkn, you agree to the collection and use of information as described in the Privacy Policy.

Employers are responsible for ensuring that their deployment of Wurkn and their own collection and use of insights generated by the platform complies with all applicable privacy and employment laws, including PIPEDA, Quebec Law 25, and any other relevant legislation.

Wurkn maintains commercially reasonable safeguards designed to protect Customer Data against unauthorized access, loss, alteration, disclosure, or destruction.

These safeguards may include encryption, access controls, logging and monitoring, secure development practices, and periodic security reviews.

While Wurkn applies reasonable protections, no system can guarantee complete security.

7. Third-Party Integrations

Wurkn integrates with third-party services including Slack and Microsoft Teams. Your use of these integrations is subject to the terms of service and privacy policies of those third-party providers. Wurkn is not responsible for the practices of third-party providers.

When you authorize a Wurkn integration with a third-party service, you represent that you have the authority to grant Wurkn the permissions required to operate that integration on behalf of your organization.

8. Service Availability and Modifications

Wurkn is provided as a software-as-a-service platform. We aim to maintain high availability but do not guarantee uninterrupted access to the platform.

We reserve the right to:

  • Modify, update, or discontinue features or functionality with reasonable notice
  • Perform scheduled and unscheduled maintenance that may temporarily affect availability
  • Adjust the platform to comply with applicable law or third-party requirements

Wurkn is currently in a pilot phase. Features described in our marketing materials or product roadmap that are not yet available in the platform are clearly identified as roadmap items and do not form part of the current service offering.

9. Disclaimer of Warranties

THE WURKN PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Wurkn does not warrant that:

  • The platform will be error-free, uninterrupted, or free of security vulnerabilities
  • Any AI-generated cultural insights or sentiment analyses are accurate, complete, or suitable for any specific business decision
  • The platform will meet your specific organizational needs or requirements

Cultural intelligence data generated by Wurkn is intended to inform decision-making, not to substitute for professional judgment. Organizational decisions, particularly those affecting employment, should not be based solely on Wurkn-generated insights.

Wurkn provides analytical and informational outputs to support organizational understanding and decision-making.

Insights generated by Wurkn must not be used as the sole basis for hiring, promotion, compensation, disciplinary action, termination, or any employment-related decision.

Customers remain responsible for all employment decisions and compliance with applicable laws.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WURKN, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Wurkn’s total cumulative liability to you for any claims arising under or in connection with these Terms shall not exceed the amounts paid by you to Wurkn in the three-month period preceding the event giving rise to the claim.

Some jurisdictions do not permit the exclusion or limitation of liability for certain types of damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wurkn and its officers, directors, employees, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the platform in violation of these Terms
  • Your failure to obtain required employee consent or provide required notice before deploying Wurkn
  • Your violation of any applicable law
  • Any content you submit through the platform that infringes the rights of a third party

12. Term and Termination

These Terms remain in effect for as long as you use the platform or maintain an account with Wurkn.

Wurkn may suspend or terminate your access to the platform at any time with reasonable notice, or immediately where:

  • You have materially breached these Terms
  • Continued access would create a legal or security risk
  • Required by applicable law or court order

You may terminate your account at any time by contacting Wurkn at the address below. Upon termination, your right to use the platform ceases. Data retention and deletion on termination are governed by our Privacy Policy and any applicable service agreement.

13. Governing Law and Dispute Resolution

These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario. Both parties consent to that jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify employer account holders by email and update the effective date at the top of this document. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must stop using the platform and contact us to close your account.
